Job Summary
Governance and Compliance Support
- Assist in Board and Committee Meetings: Prepare agendas, compile board packs, draft minutes, and ensure follow-up on action points.
- Regulatory Compliance: Help ensure the company complies with relevant laws and regulations, such as corporate governance codes, securities laws, and other regulatory requirements.
- o Filing and Documentation: Assist in preparing and filing statutory returns and maintaining corporate records, such as registers of members, directors, and charges.
Legal and Corporate Affairs
- Contract Management: Review and maintain records of contracts, agreements, and other legal documents.
- Policy Implementation: Support the development, implementation, and monitoring of company policies and procedures.
- Advisory Role: Provide advice on corporate governance issues, regulatory compliance, and changes in legislation.
Communication and Coordination
- Liaison with Stakeholders: Communicate with shareholders, regulatory authorities, and other stakeholders regarding governance matters.
- Coordination of Annual General Meetings (AGMs): Help organize AGMs, including logistics, documentation, and shareholder communication.
- Support to Senior Executives: Provide administrative support to senior executives, including the Company Secretary and Board members.
Record Keeping and Information Management
- Maintain Corporate Records: Ensure accurate and up-to-date records of company documents, minutes, and resolutions.
- Database Management: Manage corporate databases and ensure the integrity of information.
