Job Summary

 Governance and Compliance Support

  • Assist in Board and Committee Meetings: Prepare agendas, compile board packs, draft minutes, and ensure follow-up on action points.
  • Regulatory Compliance: Help ensure the company complies with relevant laws and regulations, such as corporate governance codes, securities laws, and other regulatory requirements.
  • o Filing and Documentation: Assist in preparing and filing statutory returns and maintaining corporate records, such as registers of members, directors, and charges.

Legal and Corporate Affairs

  • Contract Management: Review and maintain records of contracts, agreements, and other legal documents.
  • Policy Implementation: Support the development, implementation, and monitoring of company policies and procedures.
  • Advisory Role: Provide advice on corporate governance issues, regulatory compliance, and changes in legislation.

Communication and Coordination

  • Liaison with Stakeholders: Communicate with shareholders, regulatory authorities, and other stakeholders regarding governance matters.
  • Coordination of Annual General Meetings (AGMs): Help organize AGMs, including logistics, documentation, and shareholder communication.
  • Support to Senior Executives: Provide administrative support to senior executives, including the Company Secretary and Board members.

Record Keeping and Information Management

  • Maintain Corporate Records: Ensure accurate and up-to-date records of company documents, minutes, and resolutions.
  • Database Management: Manage corporate databases and ensure the integrity of information.

Skills and Qualification:

Knowledge of Corporate Law and Governance

  • Understanding of corporate law, securities regulations, and governance practices is crucial.
  • Familiarity with the regulatory environment and compliance requirements in the relevant jurisdiction.

Attention to Detail and Organizational Skills

  • Meticulous in handling complex documentation and maintaining records.
  • Strong organizational abilities to manage multiple tasks and deadlines effectively.

Excellent Communication and Interpersonal Skills

  • Proficient in drafting clear and concise reports, minutes, and correspondence.
